Article 1 – Definitions

  1. MP Machinery: MP Machinery, located at Asch, Chamber of Commerce number 64251187.
  2. Customer: the person with whom MP Machinery has entered into an agreement.
  3. Parties: MP Machinery and Customer together.
  4. Consumer: a Customer who is also an individual acting as a private person.

Article 2 –Applicability 

  1. These conditions apply to all quotations, offers, work, orders, contracts and deliveries of services or products by or on behalf of MP Machinery.
  2. MP Machinery and the Customer may deviate from these conditions only if agreed in writing.
  3. MP Machinery and the Customer expressly exclude the applicability of the Customer’s or others’ general terms and conditions.

Article 3 –Offers and tenders

  1. Offers and quotations from MP Machinery are without obligation unless expressly stated otherwise therein.
  2. An offer or quotation is valid for a maximum of 2 weeks unless a different period is stated in the offer or quotation.
  3. If the Customer does not accept an offer or quotation within the applicable period, then the offer or quotation expires.

Article 4 –Acceptance 

  1. Upon acceptance of an offer or quotation without obligation, MP Machinery may still withdraw the offer or quotation within 3 days of receipt of acceptance, without the Customer being able to derive any rights therefrom. 
  2. Verbal acceptance by the Customer only binds MP Machinery after the Customer has confirmed it in writing or electronically .

 Article 5 –Prices

  1. MP Machinery maintains prices in euros, including VAT and excluding any other costs such as administration or shipping costs, unless otherwise agreed in writing .
  2. MP Machinery may change the prices of its services and products on its website and in other communications at any time . 
  3. Increases in the cost prices of products or parts thereof, which MP Machinery could not foresee at the time of making the offer or entering into the agreement, may give rise to price increases. 
  4. The consumer has the right to cancel a contract because of a price increase in paragraph 3, unless the increase is due to a legal regulation.

Article 6 –Payments and payment period

  1. The Customer must pay an invoice to MP Machinery within 7 days of the invoice date, unless otherwise agreed or a different payment term is stated on the invoice.
  2. Payment deadlines are considered to be deadlines for payment. This means that if the Customer has not paid the amount by the last day of the payment period, he will automatically be in default and in default, without MP Machinery having to send the Customer a reminder or declare the Customer in default. 
  3. MP Machinery may condition delivery on immediate payment or require security for the total amount of services or products.

Article 7 –Consequences of late payment 

  1. If the Customer fails to pay within the agreed period, MP Machinery may charge the statutory interest rate of 2% per month for non-commercial transactions and  the statutory interest rate of 8% per month for commercial transactions from the day the Customer is in default, with part of a month counting for a whole month.
  2. When in default, the Customer must also pay extrajudicial collection costs and any damages to MP Machinery. 
  3. Collection costs are calculated according to the Compensation for Extrajudicial Collection Costs Decree. 
  4. If the Customer fails to pay on time , MP Machinery may suspend its obligations until the Customer has paid. 
  5. In the event of liquidation, bankruptcy, attachment or suspension of payments on the part of the Customer, the claims of MP Machinery against the Customer are immediately due and payable. 
  6. If the Customer refuses to cooperate in the performance of the agreement by MP Machinery, he must still pay the agreed price.

Article 8 – Right to advertise 

  1. When the Customer is in default, MP Machinery may invoke the right of complaint with respect to the unpaid products delivered to the Customer.
  2. MP Machinery exercises its right of advertising by written or electronic communication to the Customer.
  3. Once the Customer has been notified of the invoked right of complaint, the Customer must immediately return the products in question to MP Machinery, unless otherwise agreed in writing . 
  4. The Customer shall pay the cost of retrieval or delivery in paragraph 3. 

Article 9 –Right of Suspension

  1. Unless the Customer is a consumer, the Customer hereby waives the right to suspend performance of any obligation under this Agreement.

Article 10 – Right of Lien 

  1. MP Machinery may exercise its right of retention and, in this case, keep products belonging to the Customer until the Customer has paid all outstanding invoices from MP Machinery , unless the Customer has provided sufficient security for these costs. 
  2. The lien also applies under previous agreements under which the Customer has yet to pay money to MP Machinery.
  3. MP Machinery is not liable for any damages suffered by the Customer due to the use of its lien.

Article 11 –Offset

  1. Unless the Customer is a consumer, he waives his right to set off any debt to MP Machinery against any claim against MP Machinery.

Article 12 – Retention of title 

  1. MP Machinery remains the owner of all products delivered until the Customer has paid all outstanding invoices from MP Machinery relating to an underlying agreement, including claims for failure to perform.
  2. Until that time in paragraph 1, MP Machinery may make use of its retention of title and repossess the goods. 
  3. Before ownership has passed to the Customer, the Customer may not pledge, sell, dispose of or otherwise encumber the products. 
  4. If MP Machinery makes use of its retention of title, this will undo the agreement and MP Machinery may claim damages, lost profits and interest from the Customer.

Article 13 – Delivery

  1. Delivery will take place while supplies last.
  2. Delivery will take place at MP Machinery unless otherwise agreed.
  3. If the Customer does not pay the agreed amounts or does not pay on time, MP Machinery may suspend its obligations until the Customer pays.
  4. Late payment constitutes creditor default, which means that the Customer cannot hold a late delivery against MP Machinery .

Article 14 – Delivery time 

  1. Delivery times for MP Machinery are indicative. If later delivery is made, the Customer cannot derive any rights from it, unless otherwise agreed in writing.
  2. The delivery period will start when the offer signed for agreement by the Customer to MP Machinery is confirmed in writing or electronically by MP Machinery to the Customer.
  3. The Customer will not be compensated and may not cancel the agreement if MP Machinery delivers later than agreed. However, the Customer may cancel the agreement when agreed in writing or when MP Machinery is unable to deliver within 14 days, after being reminded in writing or the Customer and MP Machinery have agreed otherwise. 

Article 15 – Actual delivery

  1. The Customer must ensure that the actual delivery of its ordered products can take place on time .

Article 16 – Transportation costs 

  1. The Customer will pay the cost of transportation, unless the Customer and MP Machinery have agreed otherwise in writing. 

Article 17 – Detention 

  1. If the Customer does not take delivery of products ordered until later than the agreed delivery date, the risk of any loss of quality shall be borne entirely by the Customer.
  2. Any additional costs resulting from premature or late purchase of products shall be borne entirely by the Customer.

Article 18 –Warranty

  1. All our products are pre-owned or used and are delivered in their current condition (‘as is’), without any warranty.
  2. If MP Machinery takes care of delivery, the Customer must  check the products upon delivery for visible defects which, if present, must be reported in writing to MP Machinery immediately after delivery. In addition, the Customer must test the products upon delivery. The Customer must report defects not visible on delivery within 24 hours of delivery.
  3. If the Customer itself arranges the transportation of a product, it must report any visible defects in products to MP Machinery prior to transportation. Should the Customer fail to do so, he cannot hold MP Machinery liable for any damages. In addition, the Customer must test the products. The Customer must report defects not visible at pickup within 24 hours of receipt.
  4. Only with MP Machinery’s written consent may the Customer have necessary repairs performed by a third party at MP Machinery’s expense. MP Machinery will designate the third party to make the necessary repairs in consultation with the Customer.

Article 19 –Indemnification

  1. The Customer indemnifies MP Machinery against all claims by others related to the products and/or services provided by MP Machinery . 

Article 20 –Notice of default

  1. The Customer must give any notice of default in writing to MP Machinery.
  2. The Customer is responsible for ensuring that his notice of default MP Machinery actually reaches on time. 

Article 21 –Liability Customer

  1. When MP Machinery enters into an agreement with several Customers, each of them is jointly and severally liable for the fulfillment of the agreements in that agreement. 

Article 22 – Liability MP Machinery

  1. MP Machinery is only liable for damage suffered by the Customer when such damage is caused by intentional or deliberate recklessness.
  2. If MP Machinery is liable for damages, it applies only to direct damages related to the performance of an underlying agreement.
  3. MP Machinery is not liable for indirect damages, such as consequential damages, lost profits or damages to third parties.
  4. Where MP Machinery is liable, such liability shall be limited to the amount paid out by any (professional) liability insurance taken out. If no insurance has been taken out or no claim is paid, liability is limited to the (part of the) invoice amount to which the liability relates.
  5. All images, photographs, colors, drawings, descriptions on the website or in a catalog are only indicative and cannot lead to any compensation, rescission or suspension. 

Article 23 –Due date

  1. Any right of the Customer to compensation from MP Machinery expires 12 months after the event from which the liability arises directly or indirectly. This does not exclude the provisions of Article 6:89 of the Civil Code.

Article 24 –Dissolution

  1. The Customer may rescind the agreement if MP Machinery imputably fails to fulfill its obligations, unless such failure does not justify the rescission due to its special nature or minor importance. 
  2. If the fulfillment of the obligations by MP Machinery is still possible, dissolution can only take place after MP Machinery is in default. 
  3. MP Machinery may undo the Agreement with the Customer if the Customer fails to fulfill its obligations under the Agreement in full or in a timely manner, or if MP Machinery has taken cognizance of circumstances that give it good reason to believe that the Customer will not fulfill its obligations. 

Article 25 – Force majeure

  1. In addition to Article 6:75 of the Civil Code , any failure on the part of MP Machinery by the Customer cannot be imputed to MP Machinery in the event of force majeure. 
  2. The force majeure situation in paragraph 1 includes:
    – an emergency such as civil war or natural disaster
    – default or force majeure of suppliers, deliverers or others
    – power, electricity internet, computer or telecom failures
    – computer viruses
    – strikes
    – government measures
    – transport problems
    – adverse weather conditions
    – work interruptions
  3. When a force majeure situation occurs preventing MP Machinery 1 or more obligations to the Customer from being fulfilled, those obligations will be suspended until MP Machinery can fulfill them. 
  4. From the moment a force majeure situation has lasted at least 30 calendar days, both the Customer and MP Machinery may cancel all or part of the agreement in writing. 
  5. MP Machinery does not have to pay any compensation to the Customer in a force majeure situation, even if MP Machinery benefits. 

Article 26 – Amendment of Agreement 

  1. When it is necessary for its performance to modify a concluded agreement, the Customer and MP Machinery may modify the agreement. 

Article 27 –Modification of general conditions

  1. MP Machinery may modify these terms and conditions. 
  2. Changes of minor importance may be made by MP Machinery at any time. 
  3. Substantial changes will MP Machinery discuss with the Customer in advance as much as possible.
  4. A consumer may terminate the underlying contract if the general terms and conditions are substantially changed. 

Article 28 –Transfer of Rights

  1. Customer may not assign any rights under an agreement with MP Machinery to others without the written consent of MP Machinery. 
  2. This provision counts as a clause with property law effect as in article 3:83 paragraph 2 BW. 

Article 29 –Consequences of nullity or voidability

  1. Should 1 or more provisions of these general terms and conditions prove to be void or voidable, this shall not affect the remaining provisions of these terms and conditions. 
  2. A provision that is void or voidable shall in such case be replaced by a provision that comes closest to what MP Machinery had in mind when drafting the terms and conditions on that point.

Article 30 –Applicable law and competent court

  1. Dutch law applies to these general conditions and any underlying agreement between the Customer and MP Machinery . 
  2. The court in the district of the registered office of MP Machinery has exclusive jurisdiction to hear any disputes between the Customer and MP Machinery, unless otherwise provided by law.
